1. Introduction

  1. These Terms of Use ("Terms") govern your use of The Transformative Group ("Transformative") cloud-based redaction service ("Service"), accessible via https://eclipse.education/. By creating an account or using the Service, you agree to be bound by these Terms.
  2. If you do not agree to these Terms, you must not use the Service.

3. The Service

  1. Our Service enables users ("you", "your") to upload documents for automated identification and redaction of personal data, as defined under the UK GDPR. The Service uses artificial intelligence to identify personal data for redaction. You may review, amend, and confirm redactions before downloading a redacted version of the document.
  2. We act as a data processor in relation to personal data contained within documents you upload. You remain the data controller.

4. Your Responsibilities

You agree that:

  1. You are responsible for all documents and information you upload.
  2. You have the necessary rights, permissions, and lawful basis to process any personal data contained in those documents.
  3. You will not upload material that is illegal, defamatory, or infringes the rights of any third party.
  4. You are responsible for verifying and confirming all redactions before finalising a document

You acknowledge that the AI-based redaction suggestions are automated and may not be error free. You remain solely responsible for the accuracy and completeness of any redactions prior to download.

5. Data Protection

  1. We process personal data in accordance with the UK General Data Protection Regulation 2018 ("UK GDPR").
  2. Further details of the processing can be found in our Data Processing Agreement and Privacy Policy which are both accessible through https://eclipse.education/.
  3. The Data Processing Agreement forms part of these terms of use and should be read in conjunction with them.

6. Account and Security

  1. You must register for an account to use the Service.
  2. You must keep your account credentials confidential and not share them with others. You are responsible for all activity under your account.
  3. We may suspend or terminate access if we suspect unauthorised use, security breaches, or violation of these Terms.

7. Fees and Payment

  1. Use of the Service may be subject to subscription or usage-based fees as detailed on our website. All fees are payable in GBP and exclusive of VAT unless otherwise stated.
  2. We reserve the right to change fees or introduce new charges upon reasonable notice.

8. Intellectual Property

  1. We retain all intellectual property rights in and to the Service, including any software, algorithms, interfaces, and documentation.
  2. You retain all rights to your uploaded documents and any redacted outputs produced by the Service. We make no claim of ownership over your content.
  3. You grant us a limited, non-exclusive licence to process your documents solely for the purpose of providing the Service.

9. Service Availability and Limitations

  1. We aim to provide reliable and continuous access to the Service but do not guarantee uninterrupted availability. We may suspend or restrict access temporarily for maintenance, updates, or security purposes.
  2. We reserve the right to modify or discontinue any part of the Service at any time.

10. Warranties and Disclaimers

  1. The Service is provided “as is” and “as available” without any warranty of any kind, whether express or implied.
  2. We do not guarantee that:
    • The AI-generated redactions will be accurate, complete, or sufficient for your legal or compliance purposes;
    • The Service will be free from errors, viruses, or interruptions.
  3. You are solely responsible for reviewing and verifying all redactions before use.

11. Limitation of Liability

  1. Nothing in these Terms limits or excludes liability for:
    • Death or personal injury caused by negligence;
    • Fraud or fraudulent misrepresentation; or
    • Any other liability which cannot be excluded under English law.
  2. Subject to the above, we shall not be liable for:
    • Any loss of profits, revenue, data, or goodwill;
    • Any indirect or consequential loss; or
    • Any errors or omissions in the AI-generated redactions.
  3. Our total aggregate liability under these Terms shall not exceed the total fees paid by you for the Service in the 12 months preceding the event giving rise to the claim.

12. Termination

  1. You may terminate your account at any time. We may suspend or terminate your access immediately if:
    • You breach these Terms;
    • Your use poses a security or legal risk; or
    • You fail to pay any applicable fees.
  2. Upon termination, your access will cease and your uploaded data will be deleted in accordance with our data retention policy.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from or in connection with these Terms.

14. Changes to the Terms

  1. We may update these Terms from time to time. Any changes will be posted on our website and you will be notified by email.
  2. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
